Terms of Service
Draft — not yet in force. Items marked TO DECIDE need settling before this is published.
These terms govern use of Interact DC, operated by Interact DC Ltd. Where an organisation has a signed agreement with us, that agreement takes precedence over anything here.
What you may do with the service
We grant you a non-exclusive, non-transferable right to use Interact DC for your own business purposes for as long as your account is open. The modelling, the hardware catalogue and the efficiency ratings remain ours. What you upload — your server inventory and the simulations built from it — remains yours, and belongs to your organisation rather than to you personally.
Use of the service is also subject to our acceptable use policy.
Credits
Simulation runs are paid for with credits, bought in advance either by card through this site or by invoice. A run consumes credits when it is submitted. Credits are refunded automatically if a run fails for a reason on our side.
TO DECIDE: whether credits expire, and after how long. Nothing in the system expires them today, so unless this says otherwise they last indefinitely.
Payment, refunds and cancellation
Prices are shown before purchase and include VAT where it applies. A VAT receipt is issued for every purchase.
TO DECIDE: the refund position. Credits are digital goods supplied immediately, so the usual consumer cancellation right can be excluded if the buyer agrees at the point of purchase — but this is a business-to-business service, and the position for unused credits after cancellation needs stating either way.
Availability
TO DECIDE: whether any uptime commitment is offered, and what happens if it is missed. No service level is promised anywhere at present.
Liability
The efficiency figures Interact DC produces are modelled estimates. Actual consumption depends on workload, environment and configuration, and we do not warrant that real-world results will match. Decisions about buying or retiring hardware remain yours.
TO DECIDE: the liability cap, and the usual exclusions for indirect loss. Nothing may exclude liability for death, personal injury or fraud.
Ending the agreement
You may close your account at any time. We may suspend or close an account that breaches the acceptable use policy.
On termination you may ask for a copy of your data, and we will provide it in a usable format within a reasonable period. Payment and receipt records are kept for as long as tax law requires, whatever happens to the account.
TO DECIDE: how long data is kept after termination before deletion, and whether unused credits are refunded.
Changes
We will tell account holders before these terms change in a way that materially affects them, and record which version was agreed to and when.
Governing law
TO DECIDE: governing law and jurisdiction. England and Wales is the usual choice for a company registered here, but it is a choice.
